Terms of Service

1. The service

Dren Group / IT ("Dren IT") provides managed IT, cybersecurity, counter-surveillance, and related advisory services to business customers ("you", "your"). These Terms govern your access to and use of the service, including it.dren.group and the dren-agent endpoint software.

2. Definitions

Endpoint. An "endpoint" is any device, server, application, or service that Dren IT actively manages or monitors on your behalf. This includes, without limitation: workstations, laptops, servers (physical or virtual), cloud instances (AWS, GCP, Azure, etc.), websites and web applications, databases, network devices (routers, firewalls, switches, access points), camera systems and NVRs, IoT and smart-home devices, mobile devices enrolled in our MDM, and SaaS accounts under managed access. If we configure, monitor, or operate it on your behalf, it counts as an endpoint. Endpoint counts at any given month are billed at your tier's included count plus the applicable add-on rate for overages.

Tier. One of the published plan levels (Starter, Business, Professional, Custom) with corresponding included endpoint count, SLA, and feature set. See pricing on the home page.

SLA. Service-level commitments described in the SLA document.

3. Subscription & billing

Subscriptions bill monthly in advance unless otherwise agreed. Tier changes take effect at the next billing cycle. Add-on endpoints beyond your included count are billed in arrears at the rate published on the home page. Failed payments may result in service suspension after written notice.

4. Cancellation

You may cancel any subscription with 30 days' written notice to it@dren.group. We will provide an orderly off-board including a final telemetry export and credentials handover.

5. Your responsibilities

6. Our responsibilities

We will deliver the service as described in your tier and SLA, act in good faith, maintain commercially reasonable security, and only access your systems to the extent required to deliver the service. We do not view, exfiltrate, or sell customer content.

7. Confidentiality & NDA

Anything you tell us in the course of the engagement is confidential. We will sign your NDA template on request, or send ours.

8. Disclaimers & limitation of liability

The service is provided "as is". Except as expressly stated in your SLA, we disclaim implied warranties to the maximum extent permitted by law. Our aggregate liability for any claim arising out of these Terms is capped at the fees paid by you in the 12 months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.

9. Indemnification

You agree to indemnify Dren IT against claims arising from your unlawful or unauthorized use of the service. We agree to indemnify you against third-party intellectual-property claims arising from our service delivery.

10. Termination for cause

Either party may terminate immediately for material breach not cured within 30 days of written notice. Upon termination we will return or destroy your data on written request.

11. Changes to these Terms

We may update these Terms; material changes will be posted here with an updated effective date and (where possible) emailed to active account contacts at least 30 days in advance.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, excluding its conflict-of-laws rules. Venue and jurisdiction lie exclusively with the courts of competent jurisdiction in Wyoming.
